Users may access the HRD Online system and use its material only on the basis of accepting ALL the following legally binding statements.

DEFINITIONS

"Users" means all persons entering this system. Users of the system include distributors, fee paying licence holders and those HR Managers and Directors with a temporary FREE trial licence issued for the purpose of assessing the system and its services prior to purchase of licences or a customisable copy.

"Distributors" means all those parties contracted to market the system, sell system licences and provide user support services.

"the system" means the system resident on www.hrd-online.com (or any customisable system copies that may be established).

"Materials" means the system's software program code, and any supporting code; the system's descriptions and user guides, text, layout and presentation, logos, images, icons, photos, and all other artwork; distributor's written advice, marketing information, blended learning materials and information on their organisation, allies and representatives, i.e. all materials associated with the HRD Online website and system, and contained on it, within it, or supporting it.

COPYRIGHT

All of the material on this website and system is copyrighted. No part of the system's material may be copied, reproduced, stored in a retrieval system, or transmitted, in any form or by any means, electronically, mechanically, photographed, photocopied, recorded, handwritten, or in any other way.

Users of the system do have permission to print out system descriptions, user guides and presentation for their own personal use, or for presentation to company management, or for induction training sessions.

No authority is given to anyone to modify, reproduce, publicize, display or distribute any material, or authorised copies of any material, for any commercial purpose, or to any third party. Equally the system's material must not be used for the development, production or marketing of a competing program, or for any other act, commercial or otherwise, which infringes copyright.

TERMS AND CONDITIONS

1. All users must be compliant with the copyright statements and accept the system's owners, administrators, and distributors limited liability statements, below.

2. Licences issued are for your own learning use only and you must not permit any other person to use it.

3. For trialists at the end of the trial period when logging onto the system you will be presented with a subscription form that will enable you to make your licence permanent. You have 7 days to complete this form. Should you decide not to complete the form then your trial licence and training records will be removed from the system and you will owe nothing.

4. For users completing the subscription form we will invoice you with the system's licence fee at the prevailing rate - please check what that is before completing the subscription form. Payment of the system's licence fee will entitle you to access the system's resource library and your personal training records for 12 months.

5. On each 12-month anniversary of your licence subscription date, or any user licence registration arising, your distributor will automatically invoice you with licence renewal fees due which will enable you to use the system for a further 12 months. Should renewal of your licence, or any user licence registration arising, not be required then you must write to us requesting their removal. This removal instruction must be received within 7 days of the licence subscription's 12-month anniversary.

6. Manager licence holders may register other users as either a manager, with a user registration facility, or as an employee. All the users to the system that you register, and their organisation where different from your registration details, and all the users that they may register, will also be bound by these copyright, limited liability and terms declarations. You will be invoiced for all the user registrations you, and your registrants, make at the prevailing licence fee.

7. All invoices to be paid in full within 14 days of issue date, unless different terms are agreed in writting. If invoices are not paid in full within 30 days then the related licences and their attended training records will be removed from the system.

8. Any references or testimonials you provide maybe included on the system, or in our marketing materials.. In such instances usage will be to the credit of your organisation.

LIMITED LIABILITY

1. Neither the system's owners, administrators, distributors nor their resellers shall not be liable for any consequence arising from failure, or delay, in the performance of any of their obligations, or duties, or support expectations to users of the system.

2. All the system's material, together with any suggestions, recommendations, opinions, instructions or any other communication made, both oral and written, directly or indirectly, is offered to users in good faith. No condition, warranty or representation, expressed or implied, is given as to its validity or to the results obtained. It is the responsibility of the user alone for the proper adoption to their own needs, circumstances and operating environment.

3. The system's distributors sell users licences to the system on the basis that elearning tutor support is not provided. The exception to this is where tutor supported elearning programmes are advertised and made available for existing system users to subscribe to at an additional fee.

PRIVACY STATEMENT

We respect the privacy of system users.

The system's owners, administrators, distributors or their resellers will not capture and store any personal information about individuals who access this system, except where it is voluntarily given. In these cases, the personal data you provide will be used exclusively for providing you, and your authorized management, with the information you have requested, or the learning support you need.

We will not pass any of your personal data to outside organisations and/or individuals unless they are specifically engaged to deliver the elearning or blended training service you require.
